General Terms and Conditions of AlpTrip

Welcome to AlpTrip, a brand operated by Vanilla Odyssey DE. Vanilla Odyssey DE utilizes the software BizBlocks, developed and licensed by Vanilla Odyssey LDA, Portugal. BizBlocks is a multi-tenant, white-label platform software designed to support diverse marketplace models.

AlpTrip connects travelers with certified mountain guides, outdoor instructors, and adventure providers across the Alps. Whether for skiing, hiking, paragliding, or other alpine experiences, AlpTrip ensures a safe and seamless booking process.

By accessing or using AlpTrip, you agree to comply with these Terms and Conditions. If you do not agree with these Terms, please refrain from using the platform.

• Platform: Refers to AlpTrip, operated by Vanilla Odyssey DE, encompassing its website, services, and related applications.
• User: Any individual or entity accessing or using the Platform.
• Client: A User who books outdoor or adventure services through the Platform.
• Guide or Provider: A professional offering guided tours, instruction, or adventure experiences via the Platform.
• Booking: The process of scheduling and arranging outdoor services through the Platform.
• Payment: The monetary compensation transferred from the Client to the Guide or Provider for services rendered, processed securely through the Platform’s designated Payment Provider.
• Payment Provider: A licensed third-party entity responsible for processing all financial transactions related to bookings made through the Platform.
• Service Contract: The agreement established between the Client and the Guide or Provider detailing the terms of the service to be provided.
• Services: Outdoor, adventure, and travel-related experiences offered by Guides and Providers and booked by Clients through the Platform.

These Terms and Conditions apply to all Users accessing or using AlpTrip, including all associated services, websites, and mobile applications operated by Vanilla Odyssey DE. By registering, booking, offering, or otherwise interacting with AlpTrip, Users explicitly acknowledge acceptance and adherence to these Terms. Deviating or supplementary terms provided by Users shall not apply unless explicitly agreed upon in writing by Vanilla Odyssey DE.

• 4.1 Registration and Platform Access — Guides and Providers must have the legal right to operate as self-employed individuals within the European Union or Switzerland and must comply with applicable professional and safety regulations. During registration, Guides must provide: full name, contact details, certification level (e.g., UIAGM, UIMLA, national mountain guide license, or equivalent), proof of liability insurance, tax identification number, valid bank account details, availability, and service descriptions.
• 4.2 Professional Standards — Guides and Providers must maintain valid qualifications and ensure compliance with regional laws, safety protocols, and environmental protection standards. They must provide services with appropriate equipment and take reasonable measures to ensure participant safety.
• 4.3 Platform Usage — Guides are responsible for maintaining accurate profiles, including pricing, availability, and safety information. Account credentials must be kept secure. Direct off-platform contact with Clients for bookings is prohibited unless explicitly approved by AlpTrip.
• 4.4 Reviews and Ratings — Clients may provide reviews after completed services. Guides and Providers may respond professionally but shall not manipulate or incentivize reviews.
• 4.5 Fees and Payments — AlpTrip may charge a commission on successful bookings, which will be clearly communicated in advance. Payments are processed via licensed payment partners. Guides must issue legally compliant invoices for their services.
• 4.6 Termination of Agreement — Guides may terminate their agreement by written notice. AlpTrip may suspend or terminate access in case of violations or non-compliance with safety standards.
• 4.7 Liability — Guides and Providers are responsible for the safety and quality of their services and must indemnify AlpTrip against third-party claims arising from their activities. Adequate professional liability insurance is mandatory.
• 4.8 Account Termination Notice — Both parties may terminate this agreement at any time without prior notice. Termination must be communicated electronically or in writing to the address provided during registration.

• 5.1 Subject Matter of the Agreement — AlpTrip acts as an intermediary, facilitating service contracts between Clients and Guides or Providers through its Platform.
• 5.2 Booking Process — Clients can browse, compare, and book outdoor activities via the Platform. Bookings are established once a Guide or Provider confirms availability through the Platform.
• 5.3 Establishment of Service Contracts — The service contract is exclusively between the Client and the Guide or Provider. AlpTrip’s role is limited to mediation and communication.
• 5.4 Payment Process — Clients pay the displayed total amount during booking, including applicable taxes and fees. Payments are processed securely via AlpTrip’s designated payment partner.
• 5.5 Client’s Obligations — Clients must provide accurate information and comply with safety requirements specified by the Guide. Participation may be denied if safety conditions are not met (e.g., insufficient equipment, physical readiness, or weather conditions).
• 5.6 Changes and Cancellations — Clients may request changes or cancellations in line with the Platform’s policies. AlpTrip will mediate communication between the Client and the Guide.
• 5.7 Liability — AlpTrip is not responsible for the execution or outcome of guided activities. Any disputes arising from service performance must be resolved directly between the Client and the Guide.
• 5.8 Termination of Mediation Agreement — Both Clients and AlpTrip may terminate the mediation agreement at any time without prior notice via electronic communication.

• 6.1 Client-Initiated Cancellations — Up to 7 days before the scheduled service, Clients may cancel free of charge. Between 7 and 2 days before the scheduled service, 50% of the booking fee applies. Less than 48 hours before the service, 100% of the fee is due. Clients may demonstrate lower loss incurred by the Guide.
• 6.2 Guide-Initiated Cancellations — Guides must inform AlpTrip immediately if a service cannot be provided. In case of weather-related or safety-related cancellations, the Client may choose a rescheduled date or a refund.
• 6.3 Force Majeure — In cases of severe weather, natural disasters, or official restrictions, AlpTrip and the Guide are not liable for cancellations. Refunds or rebooking options will be handled fairly and transparently.
• 6.4 No-Show Policy — If a Client fails to appear for a confirmed booking, the service is considered rendered, and no refund will be issued.
• 6.5 Refunds — Refunds will be issued within 14 days via the original payment method where applicable.

• 7.1 Withdrawal Instructions — Consumers generally have the right to withdraw from contracts within fourteen days of conclusion without giving reasons. To exercise this right, Clients must contact Vanilla Odyssey DE UG, Baumpieperweg 8, 21149 Hamburg, or via email at info@alptrip.com.
• 7.2 Exceptions — The right of withdrawal does not apply to leisure activity services for a specific date or period (e.g., guided tours, ski lessons, or hiking trips).
• 7.3 Early Execution of Services — If the Client requests that performance begin before the withdrawal period expires, the Client acknowledges that the right of withdrawal is forfeited once the service is fully performed.
• 7.4 Consequences — If withdrawal applies, all payments will be refunded within 14 days. If services have partially commenced, proportional compensation will be charged for the portion already provided.

• 8.1 Services — AlpTrip is not liable for the execution, safety, or outcome of services performed by Guides or Providers. Responsibility lies solely with the contractual parties.
• 8.2 Platform Operations — AlpTrip is liable only in cases of intent, gross negligence, personal injury, or breach of essential contractual obligations (cardinal obligations). In other cases, liability is excluded.
• 8.3 Outdoor Risks — Clients acknowledge that mountain sports and outdoor activities involve inherent risks. Each participant is responsible for assessing their fitness, skill level, and compliance with safety instructions.
• 8.4 Representatives and Agents — The same limitations apply to AlpTrip’s representatives, employees, and partners.

• 9.1 Platform Usage Agreement — The agreement between the User and AlpTrip begins upon registration and remains valid indefinitely unless terminated by either party in text form (e.g., email to info@alptrip.com).
• 9.2 Mediation Agreement — Each booking constitutes a new mediation agreement that terminates automatically once the booking is completed.
• 9.3 Service Contract — The service contract between Client and Guide may be terminated per Section 6. Cancellations must be made in text form and communicated via the Platform or email.

• 10.1 Data Collection and Use — AlpTrip processes personal data in accordance with its Privacy Policy, available on the Platform.
• 10.2 User Access — Clients and Guides can view and manage their personal data through their user account. Data will be processed exclusively for the purpose of fulfilling contractual obligations.

• 11.1 Governing Law — These Terms and Conditions are governed by the laws of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
• 11.2 Jurisdiction — If the User is a merchant or comparable entity, the place of jurisdiction is Hamburg, Germany.
• 11.3 Severability Clause — Should individual provisions of these Terms become invalid, the remaining provisions remain unaffected. The invalid clause shall be replaced with one closest to the original economic intent.
